Terms of Service

These Terms of Service ("Terms") govern your access to and use of PodcastGenie (the "Service"), operated by [YOUR LEGAL ENTITY NAME] ("PodcastGenie", "we", "us"), a company established in the United Arab Emirates, serving customers worldwide. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

PodcastGenie is a software-as-a-service tool that transcribes podcast audio and generates derivative content — including titles, show notes, chapters, keywords, descriptions, social posts, and short-form video reels — using third-party AI providers. The specific features available depend on your subscription tier.

2. Accounts

  • You must be at least 16 years old, or the age of majority in your jurisdiction, whichever is greater.
  • You are responsible for keeping your credentials secure and for all activity under your account.
  • You must provide accurate information and keep it up to date.
  • One person or legal entity per account unless we agree otherwise in writing.

3. Your content and your rights

You retain all ownership rights in the audio, video, transcripts, and generated outputs associated with your account (your "Content"). You grant us a limited, worldwide, royalty-free licence to host, process, transmit, and display your Content solely as necessary to operate the Service for you — including sending it to our sub-processors (see our Privacy Policy).

You represent and warrant that you have all rights and permissions needed to upload your Content and to let us process it — including, where relevant, consent from every speaker whose voice appears in the audio.

4. Acceptable use

You agree not to:

  • Upload content that infringes intellectual property, privacy, or other rights.
  • Upload content that is illegal, defamatory, hateful, violent, or sexually exploitative.
  • Use the Service to generate content intended to mislead, harass, impersonate, or defraud.
  • Attempt to extract, scrape, or reverse-engineer the Service or its underlying models.
  • Circumvent usage limits, rate limits, or tier restrictions.
  • Use the Service to build a competing product.
  • Use the Service in a way that violates applicable law, including UAE law and the laws of your country of residence.

5. AI-generated output

The Service uses third-party AI providers to produce outputs. These outputs may contain errors, inaccuracies, or content that is misleading. You are responsible for reviewing and editing AI-generated output before publishing it. PodcastGenie makes no warranty that AI-generated output is accurate, non-infringing, or fit for any particular purpose.

6. Subscriptions, billing, and refunds

  • Paid subscriptions are billed monthly or annually in advance through our payment processor, Paddle, who acts as the Merchant of Record.
  • All prices are stated in US Dollars (USD) unless otherwise shown. Applicable VAT, GST, or sales tax is calculated and collected by Paddle based on your location.
  • Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You can cancel at any time from the Billing page.
  • If you cancel, you keep access through the end of the current billing period; we do not pro-rate partial months.
  • Refunds are at our discretion. Where required by law (for example, EU consumer-withdrawal rights), we honour mandatory refund entitlements through Paddle.
  • We may change prices with at least 30 days' notice before your next renewal. Your continued use after the change constitutes acceptance.
  • If a payment fails, we may suspend the paid features of your account until payment is received.

7. Usage limits and fair use

Each tier includes a monthly allowance of processed minutes, a concurrent-job limit, and a media retention window. Uploaded media and rendered video files are automatically deleted from storage after the retention window has elapsed. Current limits:

  • Free: 60 min/month, 1 concurrent job, 7-day media retention.
  • Pro: 300 min/month, 3 concurrent jobs, 30-day media retention.
  • Enterprise: 2,000 min/month, 10 concurrent jobs, 90-day media retention.

We may apply reasonable rate limits to protect the platform from abuse. We may contact you if your usage materially exceeds what would reasonably be expected within your tier.

8. Export control and sanctions

You represent that you are not located in, or a resident or national of, any country subject to comprehensive sanctions by the UAE, the United States, the European Union, or the United Kingdom, and that you are not on any restricted- party or denied-party list. You agree not to use the Service in violation of any applicable export-control or sanctions laws.

9. Termination

You may delete your account at any time from the Settings page. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we reasonably believe your use creates risk to the platform or to other users. On termination, your subscription ends, and your data is deleted in accordance with our Privacy Policy.

10. Intellectual property in the Service

PodcastGenie, the PodcastGenie name and logo, the website, and the underlying software are owned by us or our licensors. These Terms do not grant you any rights in our trademarks, brand, or source code.

11. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI output. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by applicable law, PodcastGenie and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD 100. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above may not apply to you.

13. Indemnity

You agree to indemnify and hold PodcastGenie harmless from and against any claim, demand, loss, or damages — including reasonable legal fees — arising from your Content, your breach of these Terms, or your violation of any law or third-party right.

14. Changes to the Terms

We may update these Terms from time to time. If the changes are material, we will notify you by email or through the Service. Your continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the competent courts of [Dubai / Abu Dhabi — pick one], United Arab Emirates. Nothing in this section affects any mandatory consumer rights you may have under the law of your country of residence.

16. Miscellaneous

  • If any provision is held unenforceable, the remaining provisions remain in effect.
  • Our failure to enforce a right is not a waiver of it.
  • You may not assign these Terms without our consent; we may assign them to a successor entity.
  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and PodcastGenie.
